This document outlines key definitions, the types of solutions we offer, and the structure of projects to ensure a mutual understanding of responsibilities, deliverables, and expectations.

Key Definitions

  • Our Agency (Us): Refers to Kemel Hub, including its owners, employees, agents, or contractors authorized to act on behalf of the agency in providing solutions.

  • Client (You): Refers to the individual, company, or organization entering into an agreement with Our Agency. This includes any representatives designated by the Client to oversee communication, approvals, or decision-making related to the project.

  • Solution: A specific service or offering designed to fulfill a defined business need. Solutions are categorized as one-time or continuous (see below).

  • Project: A contract-based agreement between the Client and Our Agency, encompassing one or more solutions. Each project includes a defined scope of work, timelines, deliverables, and payment terms.

  • Deliverables: The tangible or digital outputs provided as part of a solution. Deliverables may include, but are not limited to, websites, campaign assets, reports, or designs, as defined in the project contract.

  • What Is Deemed Necessary: Refers to tools, software, third-party services, or other actions required to fulfill the project’s scope effectively. These will be agreed upon with the Client where applicable.

Types of Solutions

1. One-Time Solutions: Solutions delivered within a defined period, with a clear start and end point.

Examples include:

  • Website design and development.

  • Logo and brand identity creation.

  • Specific campaign projects (e.g., CGI videos or landing pages).

2. Continuous Solutions: Solutions involving ongoing support, maintenance, or management for sustained performance and growth.

Examples include:

  • Website management, updates, and hosting support.

  • SEO campaigns with continuous performance monitoring and optimization.

  • Social media management, including content creation, engagement, and analytics.

Project Structure

Each project may include one or more solutions and is governed by a specific contract tailored to the Client’s business needs. Examples of project structures include:

  • A One-Time Solution (e.g., website creation) combined with a Continuous Solution (e.g., ongoing website management).

  • A Specific Campaign Solution (e.g., seasonal marketing push) coupled with recurring ad optimization.

Contracts Are Binding:

  • The terms and deliverables outlined in the signed project contract are binding for both the Client and Our Agency.

  • Modifications or additions to the project scope will require a written amendment to the original contract, signed by both parties.

Scope Adjustments

1. Evolving Needs:

  • If the Client’s priorities change, additional solutions or adjustments can be proposed.

  • These changes must be formalized through an amendment to the original contract, detailing updated deliverables, costs, and timelines.

2. Out-of-Scope Work:

  • Tasks or services not outlined in the original contract are considered out of scope.

  • Out-of-scope work will only proceed with written approval from the Client, including agreed-upon costs and deadlines.

Legal Considerations

Timeliness:

  • The Client agrees to provide all required feedback, approvals, and materials within the timelines outlined in the contract. Delays in meeting these requirements may result in adjusted project timelines.

  • Our Agency will communicate any delays on its part promptly and work to resolve them as efficiently as possible.

What Is Deemed Necessary:

  • Our Agency retains the right to use tools, third-party services, or licensed materials necessary to fulfill the project scope. These actions will align with the agreed-upon terms and the Client’s goals.

  • Any additional costs for these services will be communicated and approved by the Client in advance.
